Effective date:July 24, 2026

Version2.4

이누 (the "Company") sets out users’ rights and obligations, conditions of use, and procedures for the Toplr service. By registering or continuing to use the service, you agree to these Terms.

1. Definitions

  • "Company" means the business operating the Toplr service.
  • "Member" means a user who agrees to these Terms and creates an account through the Company’s procedures.
  • "Service" means features for collecting, storing, and analyzing public social content; viewing performance metrics; AI reference analysis; drafting scripts; and managing projects and scripts.
  • "Paid Services" means monthly subscriptions sold by the Company and their included usage allowances and features.
  • "Content" means topics, projects, scripts, and notes entered or saved by Members, and material collected, analyzed, or generated through the Service.

2. Provision of the Service

The Company grants Members a personal, non-transferable right to use the Service under these Terms. Intellectual property rights in the Service and its information and materials belong to the Company or their respective rights holders.

The Company provides the following services:

  • Managing followed creators and reference libraries
  • Collecting and refreshing public social profiles and short-form video metadata
  • Analyzing views, engagement, performance scores, and outliers
  • AI analysis of hooks, success factors, video structure, and editing points
  • Generating AI script drafts from reference structures and managing scripts
  • Saving and categorizing references by project

AI-generated or analyzed results are for reference only. Accuracy, performance, revenue, views, advertising approval, and legal compliance are not guaranteed. Members must verify facts and potential rights infringements before publishing externally.

To improve the Service, the Company may change features, design, usage limits, or availability, or discontinue certain features.

Members may not transfer, sell, or pledge their rights or contractual status relating to use of the Service to third parties.

2-1. Paid Services and Fees

The Company offers Starter and Pro monthly subscriptions. Product names, prices, billing cycles, automatic renewal, and cancellation terms follow the information shown at checkout at the time of purchase.

The Company does not store full card numbers, expiration dates, dates of birth, or card passwords. Billing keys needed for recurring payments are encrypted. Details of the provider and processing are available at checkout and in the Privacy Policy.

If a Member requests cancellation before the next billing date, the subscription will not renew after the current billing period. For payment errors, duplicate charges, or issues attributable to the Company, the Company will investigate and provide a refund or other appropriate remedy.

3. Changes and Termination

The Company may suspend or terminate all or part of the Service due to laws, administrative orders, business or technical reasons, force majeure, or changes or disruptions affecting external platforms or third-party services.

The Company may temporarily suspend the Service without advance notice when necessary for maintenance or incident response, restore it as soon as possible, and provide notice afterward.

Members may close their accounts at any time. Except for information required by law to be retained and dispute records, the Company handles departing Members’ personal information and generated data according to Company policy and applicable laws.

4. Data Rights and Responsibilities

Social media data provided by the Service comes from publicly available platform information or official platform APIs. Private accounts and access-restricted information are not collected.

Members must hold lawful rights to content they enter or save. Copyrights, likeness rights, trademarks, and other rights in public content remain with their original rights holders.

The Company processes Member content as needed to operate, store, synchronize, and improve the Service, provide support, and resolve disputes. It may delete data or restrict access if it determines that the data violates applicable laws, terms, or public standards of conduct.

  • Members must comply with applicable laws, external platform policies, and these Terms.
  • Members must not store or distribute content that infringes others’ rights or personal information.
  • Members must not compromise Service security or generate abnormal traffic.
  • Members must not impersonate the Company or resell the Service.

5. Damages and Limitation of Liability

To the extent permitted by law, the Company is not liable for losses arising from the following circumstances without intentional misconduct or negligence by the Company:

  • Force majeure, including natural disasters, war, or communications outages
  • Service disruptions attributable to a Member
  • External platform policies or updates, or third-party service outages
  • Failure to obtain anticipated benefits from using Service information
  • Rights infringements, factual errors, or external publication of Member content

Where a Member suffers damage attributable to the Company, the Company’s liability is limited to the total fees actually paid by the Member, to the extent permitted by applicable law.

Digital services may be provided immediately after payment. Withdrawal or refunds may be restricted under applicable laws where AI analysis, generated results, or usage have already been provided. Payment errors, duplicate charges, or issues attributable to the Company are handled after separate review.

6. Intellectual Property and Company Obligations

Rights in the Service’s software, design, text, trademarks, logos, data structures, and screen layouts belong to the Company or their respective rights holders.

  • Members retain rights in their original content and results they lawfully create.
  • The Company complies with applicable laws and these Terms and strives to provide a stable Service.
  • The Company establishes and publishes a Privacy Policy to protect Members’ personal information.
  • The Company strives to handle Members’ inquiries and complaints within a reasonable period.

7. Interpretation and Amendments

The Company may amend these Terms without violating applicable laws. As a rule, amended Terms apply prospectively from their effective date.

The Company announces the effective date and details of amendments in the Service at least 7 days before they take effect. Changes that are material or unfavorable to Members are announced at least 30 days in advance, and individual notice may be given by email or other reasonable means.

If the Company announces that continued use after the effective date constitutes acceptance of amended Terms, those Terms may apply to Members who continue using the Service without expressly rejecting them.

8. Jurisdiction and Governing Law

The Korean version of these Terms is authoritative, and the laws of the Republic of Korea govern. The parties will seek to resolve disputes relating to the Terms or Service in good faith. If unresolved, a dispute may be brought before the competent court under the Korean Civil Procedure Act.
